Corporate Paralegal (Sudbury, MA)

Department: 12-002 Legal Contracts
Location: Sudbury, MA

Summary Statement:
The Corporate Paralegal will specialize in contracts and will be an essential member of our legal team, responsible for supporting the creation, review, management, and administration of contracts across various projects and business functions. This role will involve supporting the attorney staff and collaborating with internal stakeholders to ensure compliance with project and legal requirements.

Location: Sudbury, Massachusetts (Hybrid)

Responsibilities:

  • Assist attorneys in the drafting, review, and negotiation of contracts, including vendor agreements, nondisclosure agreements (NDAs), and other legal documents.
  • Coordinate with the legal operations team and other internal stakeholders, including sales and finance teams, to gather necessary information and documentation for contract creation and review.
  • Manage contract databases or systems to track contract status, renewals, expirations, and key milestones, ensuring timely follow-up and action as needed.
  • Assist in the development and implementation of standardized contract templates, processes, and procedures to streamline the contract lifecycle and improve efficiency.
  • Stay informed of developments in contract law, regulations, and industry best practices, providing updates and recommendations to the legal team as needed.
  • Review corporate documents such as Articles of Incorporation and Board Resolutions and validate other legal data to ensure compliance with organizational requirements.

Qualifications:

  • Bachelor's degree and/or ABA-approved paralegal certificate preferred.
  • 3-5 years of experience working as a corporate paralegal, with a focus on contract lifecycle management.
  • Strong understanding of contract law principles and procedures.
  • Proficiency in Microsoft Office Suite and contract management software (Ironclad is a plus).
  • Excellent written and verbal communication skills, with the ability to communicate complex legal concepts effectively.
  • Detail-oriented with strong organizational and multitasking abilities.
  • Ability to work independently and prioritize tasks in a fast-paced environment.
